The following are the Terms of Use (“Terms”) under which you may use ‘laudah.com’ and the Laudah Software Application (collectively: “Service”). Please, read our Privacy Policy. 

BY ACCESSING OR USING THIS SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND TO COMPLY WITH ALL APPLICABLE LAWS AND REGULATIONS. IF YOU DO NOT AGREE TO THESE TERMS, CONDITIONS AND NOTICES THEN YOU HAVE NO RIGHT TO ACCESS OR USE THIS SERVICE.

If you accept or agree to these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or legal entity to these terms. The terms “you” and “your” as used herein refer to all individuals and/or entities accessing or using this Service for any reason whereas the terms “we” and “us” as used herein refer to the entity that owns and operates Laudah.

We may, without notice to you, at any time and in our sole discretion, revise these Terms and any other information contained in this Service. We are not required to contact you prior to making any changes to these Terms; therefore, you should review this Service from time to time so that you will be aware of any such updates or upgrades. Your continued use of this Service following any update or upgrade constitutes your binding acceptance hereof.

Proprietary and copyright information

We grant you a non-exclusive, non-transferable, limited permission to view and access this Service solely for your personal or organisational non-commercial use, provided you comply with these Terms, and all copyright, trademark, and other proprietary notices. The use authorised under this agreement is non-commercial in nature. For instance, you may not sell the content you access on or through this Service. You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of, use of, or access to this Service.

We do not grant you any express or implied rights or licenses under any patents, trademarks, copyrights, or other proprietary or intellectual property rights, except for the limited permission in the preceding paragraph. Therefore, you may not mimic, imitate, or mirror any of the content from this Service on another website or in any other media. Furthermore, any software and other materials that are made available for access, or download, or other use from this Service with their own license terms will be governed by such terms, conditions, and notices. 

The contents of this Service, including all images, logo, favicon, links, and other content (collectively, “Content”), are protected under international copyright, trademark, patent, trade secret, and other intellectual property laws. All Content is the sole and exclusive property of Laudah, its content suppliers or clients. The creation, selection, collection, arrangement, and assembly of all content on this Application Software is the exclusive intellectual property of Laudah and is protected by all applicable intellectual property laws. Unauthorised access, copying, or use of the Content may violate intellectual property rights and/or other laws. You may not reproduce, modify, transmit, display, sell, create derivative works, or distribute by any means, methods, or process whatsoever, now known or hereafter developed, any of the Content. You are prohibited from using this Service in violation of any applicable domestic, federal or foreign state laws, rules or regulations or in a manner that will infringe Laudah’s or any third party’s intellectual property rights or otherwise violate the privacy, publicity or other personal rights of others. The use of hateful, defamatory, threatening, obscene, or abusive language, images, videos, or other contents on this Service is strictly prohibited.

Confidential information

We only monitor how users make use of this Service for administrative, maintenance, and improvement purposes. We will not collect confidential or proprietary information from you through this Service without your consent. Further, any information or material sent by you to us will be deemed NOT to be confidential. By sending us any information or material, you grant us an unrestricted, irrevocable license to copy, reproduce, publish, upload, post, transmit, distribute, publicly display, perform, modify, create derivative works from, and otherwise freely use, those materials or information. You also agree that we are free to use any ideas, concepts, know-how, information or techniques that you send to us for any purpose. 

However, we will not publicise the fact that you submitted materials or sent information to us via the use of this Service unless:

(a) we first notify you that the materials or information you submit to a particular part of this Service will be published or otherwise with your name on it, or

(b) we obtain your permission to use your name, or 

(c) we are required to do so by law. 

Please note that any personal information you submit to us for the purpose of accessing and using this Service will be handled in accordance with our Privacy Policy. 

Business relationships

This Service may provide links or references to other websites and resources not owned by Laudah. We make no warranties, representations, or other endorsements about any websites or third-party resources that may be referenced, accessible from or linked to this Service. Furthermore, we are not a party to or responsible for any transactions you may enter with any third party, even though you learn of such party (or use a link to such party) from this Service. 

User information

If you choose to use this Service, you may be asked to create an account. At the point of creating an account, you will be required to provide certain information such as your first name, last name, email address, and password among others. You must complete the registration process by providing us with up-to-date, complete, and accurate information at every point in time. 

Whether you are an individual or you represent an organisation or enterprise, we do not, and will not, manage your account on your behalf neither do we have access to your account or password. You are entirely responsible for maintaining and protecting your account and password. Furthermore, you are solely responsible for all activities that occur on your account. Laudah will not be liable for any loss associated with the use of your account by someone else, whether you are aware of such or not. You may not use anyone else’s account at any time, without the express permission of the account holder. You could be held liable for any loss incurred by Laudah or other third parties when someone else uses your account or password. In case of any unauthorised use of your account or security breach, you agree to notify Laudah immediately. 

We will not disclose to any third party your personally identifiable information without your prior consent, except to the extent necessary or appropriate to comply with applicable laws, subpoena, or other legally compelled disclosure. Please, see our “Privacy Policy” for further details.

Termination and account cancellation

If you breach any of these Terms, Laudah has the sole right to suspend, cancel, disable, or terminate your account at its sole discretion and without prior notice to you. Your company administrator (a legal entity who is chosen by your company to manage this Service on behalf of other users) may at any time, in its sole discretion, cancel, terminate or delete your account with or without prior notice.  If you are connected to an enterprise account, you cannot delete your individual account.

Warranty

YOUR USE OF THIS SERVICE, THE SERVICE CONTENT, AND ANY USE OF THE SERVICE OR ITEMS OBTAINED THROUGH THIS SERVICE ARE AT YOUR OWN RISK. THIS SERVICE, THE SERVICE CONTENT, AND ANY USE OF THE SERVICE OR ITEMS OBTAINED THROUGH THIS SERVICE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OR GUARANTEE, EITHER EXPRESS OR IMPLIED. LAUDAH EXPRESSLY DISCLAIMS TO THE FULLEST EXTENT PERMITTED BY LAW ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, GUARANTEES, OR REPRESENTATIONS, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY AND INTELLECTUAL PROPERTY RIGHTS’ WITHOUT LIMITATION. 

LAUDAH MAKES NO WARRANTY OR GUARANTEE THAT THIS SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. FURTHERMORE, LAUDAH MAKES NO WARRANTY OR GUARANTEE REGARDING THE QUALITY OF SERVICE CONTENT OBTAINED THROUGH THIS SERVICE OR THE ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY SERVICE CONTENT OBTAINED THROUGH THIS SERVICE. 

YOU ARE SOLELY RESPONSIBLE FOR ALL OF YOUR COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS OF THIS SERVICE AND WITH OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THIS SERVICE. YOU UNDERSTAND THAT LAUDAH DOES NOT SCREEN OR INQUIRE INTO THE BACKGROUND OF ANY USERS OF THIS SERVICE, NOR DOES LAUDAH MAKE ANY ATTEMPT TO VERIFY THE STATEMENTS OF USERS OF THIS SERVICE. LAUDAH MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF USERS OF THIS SERVICE OR THE SERVICE OR THEIR COMPATIBILITY WITH ANY CURRENT OR FUTURE USERS OF THIS SERVICE. YOU AGREE TO TAKE REASONABLE PRECAUTIONS IN ALL COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS OF THIS SERVICE AND WITH OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THIS SERVICE.  

Limitation of liability

YOU ACKNOWLEDGE AND AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THIS SERVICE REMAINS WITH YOU. IN NO EVENT SHALL LAUDAH OR THIRD PARTIES ASSOCIATED WITH THIS SERVICE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR LOST PROFITS) RESULTING FROM THE USE OR INABILITY TO USE THIS SERVICE OR THE SERVICE CONTENT THEREOF, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT LAUDAH IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Accuracy of information

THIS SERVICE MAY CONTAIN TECHNICAL INACCURACIES, GRAMMATICAL OR TYPOGRAPHICAL ERRORS, AND WE DO NOT WARRANT THE ACCURACY OF ANY POSTED INFORMATION. YOU ARE STRONGLY ADVISED TO CONFIRM THE ACCURACY AND COMPLETENESS OF ANY INFORMATION ON THIS SERVICE BEFORE USING IT TO MAKE DECISIONS. 

Indemnity

You agree to defend, indemnify, and hold harmless Laudah, its officers, directors, employees, agents, suppliers, partners from and against any third party claims, liabilities, damages, losses, demands, and expenses, including, without limitation, reasonable legal and accounting fees, arising or resulting from your use of this Service or your violation of these Terms. 

Entire agreement

These Terms and Privacy Policy constitute the absolute, exclusive understanding and agreement between you and Laudah regarding the use of this Service and the Content. These Terms supersede and replace any and all pre-existing oral or written understandings or agreements between you and Laudah regarding this Service.

Controlling laws and jurisdiction

These Terms are governed by the laws of the United Kingdom. You hereby consent to the exclusive jurisdiction and venue of a court in Courts of Justice, Crown Square, Manchester, M3 3FL in all disputes arising out of or relating to the use of this Service. Each of the parties hereto waives any objection to jurisdiction and venue in such courts.

Notices

Any notice or communication required or permitted hereunder, including those regarding changes to these Terms, will be posted on this Service. The date of receipt will be deemed the date on which such notice is transmitted. You are therefore advised to regularly visit this Service for updates.
